YOUR MISSION

Reporting to the Vice President, Legal Affairs and Intellectual Property, the Legal Counsel plays an active role in the commercialization of technologies arising from research and innovation. The incumbent is responsible for drafting, negotiating, and reviewing various commercial agreements in the technology sector, as well as providing legal advice related to intellectual property and technology transfer.
In carrying out their duties, the Legal Counsel acts as a legal partner to internal teams and ecosystem partners, and contributes to raising awareness of intellectual property issues and the adoption of best practices in technology commercialization.

YOUR RESPONSIBILITIES

  • Technology commercialization–related activities ;
  • Draft, negotiate, and review technology transfer agreements and various commercial contracts;

  • Prepare legal opinions related to intellectual property and technology transfer;

  • Ensure that intellectual property rights related to the technologies to be transferred are clear, complete, and compliant with applicable requirements;

  • Act as a legal advisor to the organization on technology commercialization and transfer processes, and prepare standard agreements;

  • Contribute to investment negotiations and closings, and review agreements related to such investments, including shareholders’ agreements and subscription agreements;

  • Work closely with multidisciplinary teams (business, scientific, financial) to support commercialization projects at all stages of their development;

  • Support and contribute to the development of the organization’s legal knowledge, including through the sharing of best practices and legal monitoring;

  • Contribute to awareness-raising and knowledge-sharing activities related to intellectual property, both internally and with external partners, to promote a better understanding of IP and technology commercialization issues;

  • Participate in any special projects involving legal considerations, as applicable;

  • Perform any other related duties and responsibilities assigned by the Vice President.

 

PROFILE SOUGHT

Education and experience:

  • Bachelor’s degree in Law and membership in the Barreau du Québec;

  • Minimum of 5 years of experience in business law and intellectual property;

  • Experience in corporate financing and venture capital will be considered an asset;

  • Experience gained within a large law firm will also be considered an asset.

Skills and knowledge:

  • Excellent drafting skills;

  • Excellent command of French and English (spoken and written);

  • Strong ability to act in an advisory role while maintaining a high level of professionalism and discretion;

  • Excellent negotiation skills;

  • Ability to clearly explain complex legal issues to diverse audiences;

  • Comfort with information technologies.
